Unless otherwise agreed in writing, the following terms and conditions shall apply to all deliveries and services provided by CATO-TECH A/S.

Prices

All prices are stated as net prices exclusive of VAT and EXW Odense, valid on the date of the order confirmation. Prices remain fixed until delivery is completed, even in the event of any intervening price increases. Any price changes will only apply to new orders placed after the updated pricing comes into effect.

Dispatch

All shipments are made at the Buyer’s risk and expense. This applies even when carriage-paid delivery to the Buyer’s address, railway station or another agreed location is arranged. Should the Buyer wish to take out transport insurance, this must be requested separately.

Delivery

All delivery dates are estimates. CATO-TECH A/S will strive to meet agreed schedules but accepts no liability for delays.

Warranty

Unless otherwise agreed, CATO-TECH A/S offers a standard product warranty of 12 months and a maximum of 1600 operating hours The warranty does not cover defects or damages caused by improper use or insufficient maintenance.

Force Majeure

CATO-TECH A/S shall not be held liable for delays or deficiencies due to force majeure events, including but not limited to strikes, lockouts, war, fire, explosion, transport disruptions, rejection of major works, or any other circumstance beyond the company’s control.

Payment

Payment terms are as agreed in writing between the Buyer and CATO-TECH A/S.

Retention of Title

All delivered goods remain the property of CATO-TECH A/S until payment has been made in full, in accordance with applicable Danish law.

Returns

Goods cannot be returned unless agreed in advance and confirmed in writing by CATO-TECH A/S.

Deficiencies

CATO-TECH A/S’ liability for deficiencies is limited to remedy, replacement, or – at the company’s discretion – a refund of the invoiced amount. Compensation does not extend to operating loss, loss of profit, or other indirect losses.

Product Liability

CATO-TECH A/S is only liable for damage or injury caused by its products if it can be proven that the damage is due to negligence by CATO-TECH A/S or its employees. The company is not liable for operating losses, loss of profits, or other consequential damages.

Complaints

All complaints must be submitted in writing within 14 days of receipt of the goods. It is the Buyer’s responsibility to inspect and test the goods upon delivery. A complaint does not entitle the Buyer to cancel the order or withhold payment.

Limitation of Liability

CATO-TECH A/S’ liability for property damage is limited to DKK 40,000,000. This applies to general third-party liability and product liability.

Governing Law and Venue

Any dispute arising from these terms shall be governed by Danish law and settled before the Court of Odense, Denmark, unless otherwise agreed in writing.

Supplementary Terms

Unless otherwise agreed in writing or stated on the invoice, the provisions of NL 85, items 2 to 39 (inclusive), shall apply.
